Terms of Service

01Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and MycoFarm Inc., a company incorporated under the laws of Québec, Canada ("MycoFarm", "we", "us"). They govern your access to and use of the MycoFarm precision cultivation platform, APIs, mobile applications, and all associated services (collectively, the "Services").

By creating an account, accessing the platform, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.

02Description of Services

MycoFarm provides a sensor-native precision cultivation management platform designed for commercial mushroom producers. The Services include, without limitation:

• Real-time environmental monitoring and alerting across grow rooms
• AI-driven contamination detection, yield forecasting, and harvest optimization
• Substrate, spawn, and batch traceability tools
• HACCP logging and regulatory compliance documentation
• Integrations with IoT sensors, HVAC controllers, and third-party agricultural systems
• Grower dashboards, reporting, and data export capabilities

MycoFarm reserves the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable prior notice where practicable. We will not be liable for any modification, suspension, or discontinuation of the Services.

Beta Features

Certain features may be released as "Beta" or "Preview". Beta features are provided as-is, may be changed substantially before general availability, and are excluded from any service level commitments unless expressly stated otherwise.

03Accounts & Access

To access the Services, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

• You must be at least 18 years old to create an account
• Each set of credentials may only be used by a single named individual; shared logins are prohibited unless you have purchased a multi-seat plan
• You must promptly notify MycoFarm of any unauthorized use of your account or any other breach of security
• MycoFarm shall not be liable for any loss or damage arising from your failure to comply with these obligations

Organization Accounts

If you access the Services as part of an organization account, the account owner is responsible for all users provisioned under that account and for ensuring that those users comply with these Terms. The account owner may manage user permissions, roles, and access levels through the administrative dashboard.

04Data & Privacy

Your privacy matters to us. Our Privacy Policy explains how we collect, use, and protect personal information. The following provisions specifically govern grow data and operational data you submit to the Services.

Your Data

You retain full ownership of all sensor readings, environmental logs, substrate records, yield data, and other operational data you upload or generate through the Services ("Customer Data"). You grant MycoFarm a limited, non-exclusive, royalty-free licence to process Customer Data solely for the purpose of delivering and improving the Services to you.

On-Premise Deployments

Customers on the Enterprise plan may deploy MycoFarm within their own local network. In on-premise deployments, Customer Data remains on your infrastructure and is not transmitted to MycoFarm servers unless you explicitly enable cloud sync features.

Data Retention

We retain Customer Data for the duration of your subscription and for 90 days following account termination, after which it is permanently deleted from our systems unless legal obligations require otherwise. You may request an export of your data at any time from the account settings panel.

05Intellectual Property

The Services, including all software, models, algorithms, interfaces, documentation, and content provided by MycoFarm, are owned by or licensed to MycoFarm Inc. and are protected by Canadian and international intellectual property laws. Nothing in these Terms transfers ownership of MycoFarm's intellectual property to you.

Subject to your compliance with these Terms and timely payment of all applicable fees, MycoFarm grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal cultivation operations during the term of your subscription.

Feedback

If you provide suggestions, feedback, or ideas about the Services ("Feedback"), you grant MycoFarm a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose without compensation or attribution to you.

06Acceptable Use

You agree not to use the Services in any way that:

• Violates any applicable local, provincial, federal, or international law or regulation
• Attempts to reverse-engineer, decompile, or extract the source code of any MycoFarm software
• Introduces malicious code, bots, or automated scripts not expressly authorized by MycoFarm
• Circumvents or disables any access controls, security mechanisms, or usage limits
• Resells, sublicenses, or otherwise makes the Services available to third parties without our written consent
• Misrepresents your identity or affiliation when using the Services

07Payments & Billing

Access to paid tiers of the Services is subject to payment of the applicable subscription fees as set out in your order form or on the pricing page at the time of purchase.

Billing Cycle

Subscriptions are billed monthly or annually in advance, depending on the plan you select. All fees are in Canadian dollars (CAD) unless otherwise specified. Applicable taxes (including GST/HST/QST) will be added where required by law.

Late Payment

If payment is not received within 10 days of the due date, MycoFarm may suspend access to the Services. Accounts suspended for non-payment are not eligible for refunds of any pre-paid amounts. Reactivation of a suspended account may require payment of all outstanding balances plus a reactivation fee.

Refunds

Annual subscriptions are refundable within 30 days of initial purchase if you have not used the Services in a meaningful way. Monthly subscriptions are non-refundable. All refund requests must be submitted to billing@mycofarm.ca.

08Warranties & Liability

Disclaimer of Warranties. The Services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. MycoFarm does not warrant that the Services will be error-free, uninterrupted, or that any defects will be corrected.

Limitation of Liability. To the maximum extent permitted by applicable law, MycoFarm's total cumulative liability to you for any claims arising under or relating to these Terms or the Services shall not exceed the greater of (a) the total fees paid by you to MycoFarm in the twelve months preceding the event giving rise to the claim, or (b) CAD $500.

In no event shall MycoFarm be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of yield, loss of crops, loss of revenue, data loss, or business interruption, even if MycoFarm has been advised of the possibility of such damages.

09Termination

You may cancel your subscription at any time from your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period; your access will remain active until that date.

MycoFarm may terminate or suspend your account immediately and without prior notice if we determine, in our sole discretion, that you have materially breached these Terms, failed to pay applicable fees, or that continued access poses a security risk to the platform or other customers.

Upon termination for any reason, all licences granted to you under these Terms will immediately cease. You remain responsible for any fees incurred up to and including the date of termination.

10Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms that cannot be resolved through good-faith negotiation shall be submitted to the exclusive jurisdiction of the courts of the Judicial District of Montréal, Québec. You waive any objection to the venue of such proceedings.

Changes to Terms

MycoFarm may update these Terms from time to time. We will notify you of material changes by email or via an in-platform notice at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. The current version of these Terms is always available at mycofarm.ca/terms.
